Commissions

The Board of Directors can create specialised commissions, determining their duties and appointing the members.

Thus, a commission responsible for analysing applications for subsidies offered as part of the society’s cultural action has been created.

A special commission for the information of partners has also been set up, with the aim of guaranteeing transparency in the management of the company.

THE “CULTURAL ACTION” COMMISSION

The role of the “Cultural Action” commission is to examine applications for subsidies sent to ADAGP as part of its cultural action.

It proposes a list of projects and events it has preselected to the Board of Directors, with a view to submitting them to the General Meeting for approval.

It also monitors the payment of subsidies and, if declined by a beneficiary during the year, their reallocation.

THE SPECIAL COMMISSION FOR THE INFORMATION OF PARTNERS

Any partner of a royalty management and distribution company can, in accordance with article R. 321-6-1 of the intellectual property code, ask to obtain certain documents relating to the management of the company (annual accounts, annual report, auditors’ reports, etc). If this is refused, the partner must be able to refer the matter to a special commission consisting of at least five partners elected by the general meeting from those who are not company officers.

The ADAGP Special Commission for Information of Partners, elected for a period of 3 years by the General Meeting, consists of six members, from one of the three categories of partners (artists, beneficiaries, assignees).

The members of the Board of Directors in office cannot be part of the commission. 

The Special Commission elected by the General Meeting of 21 October 2010 is made up as follows :
